Legal lane

# The buyer's contract changes, turned into owned decisions.

Each change gets an owner, a limit and a clock, with what your company accepted before shown at the moment of decision.

01 · In practice

## What you accepted before, when it matters.

Girard does not compete on marking up Word documents. It reads the buyer's paper clause by clause and puts your own history next to each change.

02 · What Girard handles

## Every change to the contract.

- **The buyer's paper, clause by clause.** Checked against your positions.
- **Legal terms with owners and limits.** Data processing, AI training, special caps, renewal notice, assignment, insurance, publicity, governing law and termination.
- **A data processing addendum.** With the subprocessor annex, produced from the deal.
- **A redline drafted by AI.** The owner signs off each change, and a person sends it.
- **Round-by-round compare.** Each version the buyer sends, set against the last.
- **Obligations after signing.** Renewal and notice windows, tracked.

03 · Where Girard goes further

## Beyond the redline.

- **Owned asks, not markup.** Each change the buyer wants gets its owner, limit and clock.
- **A playbook from your own contracts.** Proposed from what you signed, approved by the owner, never applied automatically.
- **A most-favoured-pricing guard.** It warns when a later quote would undercut a customer who holds that clause.
- **One risk budget per deal.** Caps, indemnities and special caps added up, with an approval threshold on the total.
- **An outside-counsel package.** Only the open changes, with precedent and fallbacks, and hours tracked per deal.
- **Low-risk paper inside a limit.** Standard confidentiality agreements handled by an agent, only if you switch it on.
